Welcome to Neobyt Fintech ("Neobyt", "Company", "we", "our", or "us").
These Terms of Use ("Terms") govern your access to and use of Neobyt's websites, applications, APIs, merchant platforms, software systems, communication channels, and associated services (collectively, the "Services").
By accessing, registering for, onboarding to, or using the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you should discontinue use of the Services.
1. Platform Nature
Neobyt operates as a technology-enabled retail financial commerce and digital services platform that provides software systems, APIs, merchant enablement tools, operational infrastructure, and platform services for businesses, merchants, and users.
Certain services available through the platform may be facilitated, fulfilled, processed, or operated in collaboration with authorized banking, financial, payment, telecom, travel, utility, or other ecosystem partners. Use of such services may additionally be subject to applicable partner terms, operational requirements, and regulatory conditions.
2. Eligibility
You may use the Services only if:
- you are legally capable of entering into a binding agreement under applicable laws;
- you are at least 18 years of age;
- the information provided by you is accurate and complete;
- your use of the Services does not violate applicable laws or regulations.
If you use the Services on behalf of a business or organization, you represent that you are authorized to act on behalf of that entity.
3. User Accounts
Certain Services may require registration, onboarding, or account creation. Users are responsible for:
- maintaining confidentiality of account credentials;
- restricting unauthorized access to their accounts;
- ensuring information remains accurate and updated;
- all activities conducted through their accounts or linked systems.
Neobyt may suspend, restrict, or terminate access where false or misleading information is provided, misuse or suspicious activity is identified, operational or security concerns arise, or applicable partner or legal requirements necessitate such action.
4. Services
Services available through the platform may include:
- digital payment facilitation;
- recharge and bill payment services;
- merchant enablement and operational tools;
- QR and collection services;
- ERP and retail software;
- travel and booking services;
- communication and notification services;
- API and white-label infrastructure;
- partner-enabled commerce and financial services.
Availability of Services may vary depending on operational conditions, geographic availability, technical limitations, partner integrations, and regulatory or partner requirements. Neobyt may modify, suspend, or discontinue Services or platform features at its discretion.
5. User Responsibilities
Users agree to use the Services lawfully and responsibly, provide accurate and authentic information, comply with applicable laws and regulations, maintain security of credentials, avoid misuse of the platform, and cooperate with reasonable operational or verification requests.
Users shall not:
- engage in fraudulent or deceptive conduct;
- misuse customer or third-party information;
- attempt unauthorized access to systems or accounts;
- interfere with platform operations or security;
- conduct fake, manipulated, or unauthorized transactions;
- upload malicious code or harmful software;
- use the Services for unlawful activities.
6. Verification and Security
To access certain Services, Users may be required to provide supporting information or complete verification procedures. Neobyt or authorized partners may implement reasonable operational and security measures including account verification, fraud prevention checks, transaction review, device and session monitoring, and platform integrity measures.
Users are responsible for protecting OTPs and authentication credentials, maintaining secure access to their accounts, and promptly reporting unauthorized activity or suspected misuse.
7. Third-Party Services and Partner Infrastructure
Certain Services rely on or integrate with third-party providers, infrastructure partners, banking systems, payment networks, telecom providers, APIs, and regulated ecosystem participants.
Users acknowledge that certain services are fulfilled or operated by partner entities, transaction processing and settlement may depend on external institutions, and third-party terms, policies, and operational conditions may apply.
Neobyt shall not be responsible for banking or network downtime, partner system failures, telecom disruptions, API interruptions, or external service outages beyond its reasonable control.
8. Fees and Charges
Certain Services may involve service fees, convenience charges, transaction fees, subscription fees, partner charges, or taxes and statutory deductions. Applicable pricing or charges may be revised periodically and shall be governed by service-specific disclosures, operational terms, or the Service Charges & Pricing policy published by Neobyt. Taxes including GST may apply where applicable.
9. Refunds and Cancellations
Refunds, reversals, cancellations, and failed transaction handling shall be governed by applicable partner processes, operational conditions, transaction status, and the Refund & Cancellation Policy published by Neobyt. Certain services or transactions may be non-refundable depending on the nature of the service or partner requirements.
10. Intellectual Property
All software, systems, branding, trademarks, logos, APIs, platform interfaces, content, operational workflows, and related intellectual property associated with the Services are owned by or licensed to Neobyt unless otherwise stated.
Users may not reproduce, reverse engineer, distribute, modify, copy, or commercially exploit any part of the Services without prior written authorization.
11. Privacy and Data Protection
Use of the Services is subject to the Privacy Policy and related operational policies published by Neobyt. By using the Services, Users acknowledge that certain information may be collected, processed, stored, and shared with authorized partners for legitimate operational, security, verification, fraud prevention, support, and service delivery purposes.
Regulated customer and payment-related information maintained by Neobyt is stored and processed within India in accordance with applicable operational and legal requirements.
12. Platform Availability
Neobyt seeks to maintain reliable platform operations but does not guarantee uninterrupted or error-free availability of Services. Temporary interruptions or delays may occur due to maintenance activities, partner downtime, telecom or network disruptions, cybersecurity events, technical failures, or external operational dependencies.
13. Suspension and Termination
Neobyt may suspend, restrict, or terminate access to the Services where misuse or suspicious activity is identified, operational or security risks arise, partner or legal requirements necessitate action, these Terms or applicable policies are violated, or platform integrity may be impacted. Termination of access shall not remove obligations or liabilities accrued prior to such termination.
14. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis. Neobyt does not guarantee that Services will always be uninterrupted or error-free, transactions will always succeed, or that all information will always remain accurate or updated. To the maximum extent permitted under applicable law, all implied warranties are disclaimed.
15. Limitation of Liability
To the maximum extent permitted under applicable law, Neobyt shall not be liable for indirect or consequential losses, loss of profits or revenue, delays caused by third-party partners or infrastructure, unauthorized access resulting from user negligence, or banking, telecom, API, or network failures.
Neobyt's total liability relating to a specific claim shall not exceed the amount directly paid by the User to Neobyt for the affected Service, where applicable.
16. Indemnity
Users agree to indemnify and hold harmless Neobyt, its affiliates, employees, partners, licensors, and service providers against claims, damages, losses, liabilities, or expenses arising from violation of these Terms, misuse of the Services, fraudulent or unlawful activities, violation of third-party rights, or inaccurate information provided by Users.
17. Compliance and Cooperation
Neobyt may maintain reasonable operational, audit, fraud prevention, and security records to support platform integrity, dispute handling, lawful requests, operational reviews, and partner requirements. Neobyt may cooperate with authorized partners, regulators, or lawful authorities where required under applicable laws or operational obligations.
18. Changes to Terms
Neobyt may update these Terms periodically to reflect operational changes, partner requirements, technology developments, regulatory updates, or business modifications. Updated Terms will be published on the official website. Continued use of the Services after updates constitutes acceptance of the revised Terms.
19. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India. Any disputes relating to the Services or these Terms shall be subject to the exclusive jurisdiction of courts located in Delhi, India.
