These Merchant Terms ("Terms") govern the onboarding, access, and use of merchant, distributor, API, white-label, partner, and business services offered through Neobyt Fintech ("Neobyt", "Company", "we", "our", or "us").
These Terms apply to retailers, merchants, distributors, agents, franchise or network partners, API users, white-label partners, and business entities using the Services ("Merchant" or "Merchants"). By registering for, onboarding to, integrating with, or using the Services, Merchants agree to these Terms.
1. Platform Nature
Neobyt operates as a technology-enabled retail financial commerce and digital services platform providing merchant enablement tools, software systems, APIs, operational infrastructure, payment and commerce support systems, ERP and retail management tools, and partner-enabled service integrations. Certain services available through the platform may be facilitated, fulfilled, processed, or operated in coordination with authorized ecosystem or operational partners. Additional partner terms, operational conditions, or service-specific requirements may apply depending on the nature of the Services used.
2. Merchant Eligibility
To access Merchant Services, Merchants may be required to provide accurate business and operational information, complete onboarding or verification procedures, maintain valid business or operational authorization where applicable, and comply with applicable laws and operational requirements. Neobyt reserves the right to approve, reject, suspend, or discontinue merchant onboarding at its discretion.
3. Merchant Services
Merchant Services may include:
- recharge and bill payment enablement;
- merchant QR and collection services;
- ERP and POS solutions;
- API and white-label integrations;
- operational dashboards and settlement tools;
- travel and commerce integrations;
- customer engagement and communication services;
- partner-enabled financial or operational services.
Availability of Services may vary depending on operational readiness, partner integrations, geography, technical compatibility, or business category.
4. Merchant Responsibilities
Merchants agree to:
- use the Services lawfully and responsibly;
- maintain accurate onboarding and operational information;
- ensure authorized use of merchant accounts and systems;
- protect customer and operational information;
- maintain confidentiality of credentials and API keys;
- comply with applicable service conditions and platform policies;
- cooperate with reasonable operational or verification requests where necessary.
Merchants remain responsible for activities conducted through their outlets, operators, employees, agents, linked systems, or API integrations under their control.
5. Prohibited Activities
Merchants shall not:
- engage in fraudulent or deceptive activities;
- conduct fake or manipulated transactions;
- misuse customer information;
- attempt unauthorized access to systems or APIs;
- interfere with platform operations or security;
- use the Services for unlawful or prohibited purposes;
- misuse promotional, settlement, or incentive programs;
- distribute malicious software or harmful code through integrations or systems.
Neobyt may restrict, suspend, or terminate Services where misuse, fraud concerns, or operational risks are identified.
6. Pricing, Fees, and Commercial Terms
Merchant usage of Services may involve transaction charges, subscription fees, service fees, onboarding or setup fees, API usage fees, settlement-related charges, partner or operational charges, and taxes including GST where applicable. Commercial structures may vary depending on service category, transaction volume, operational arrangements, partner integrations, negotiated agreements, or promotional programs. Applicable pricing may be revised periodically in accordance with operational or commercial requirements.
7. Settlements and Payouts
Settlement timelines and payout processing may depend on banking systems, payment gateways, reconciliation cycles, partner processing, operational reviews, or transaction verification requirements.
Neobyt may temporarily delay settlements, hold payouts, restrict transactions, or conduct operational review where suspicious activity is identified, reconciliation discrepancies exist, fraud prevention review is necessary, partner verification is pending, or operational risks arise.
8. API and White-Label Services
Merchants using APIs, integrations, or white-label services are responsible for securing access credentials and API keys, maintaining secure integrations and operational controls, ensuring lawful and authorized use of customer information, and complying with integration requirements and operational guidelines. Neobyt may impose usage limits, modify API functionality, restrict access, or suspend integrations where security, operational, or misuse concerns arise.
9. Customer Responsibility
Merchants remain responsible for customer interactions and service fulfillment under their control, accuracy of customer-facing information, obtaining necessary customer consent or authorization where applicable, and handling disputes relating to merchant-provided products or services. Neobyt does not assume responsibility for independent merchant business operations outside the Services provided through the platform.
10. Third-Party Services and Dependencies
Certain Services may rely on banking partners, telecom operators, utility providers, travel operators, APIs, payment systems, or external infrastructure providers. Service availability, transaction processing, settlement timelines, or operational continuity may therefore depend on external systems beyond Neobyt's direct operational control.
11. Data and Information Handling
Merchant use of the Services may involve processing of operational data, customer information, transaction records, settlement information, and integration-related data. Merchants are responsible for handling customer information responsibly, maintaining confidentiality of operational data, and ensuring lawful use of data collected through their operations. Regulated customer and payment-related information maintained by Neobyt is stored and processed within India in accordance with applicable operational and legal requirements.
12. Suspension and Termination
Neobyt may suspend, restrict, or terminate Merchant access where policy violations occur, misuse or suspicious activity is identified, operational risks arise, legal or partner requirements necessitate action, security concerns impact platform integrity, or onboarding or verification information is inaccurate. Termination or suspension shall not remove obligations or liabilities accrued prior to such action.
13. Limitation of Liability
To the maximum extent permitted under applicable law, Neobyt shall not be liable for indirect or consequential losses, business interruption, loss of profits or revenue, partner downtime or external infrastructure failures, settlement delays caused by external systems, operational losses arising from merchant negligence or misuse, or third-party service interruptions beyond reasonable operational control. Neobyt's total liability relating to a specific claim shall not exceed the amount directly paid by the Merchant to Neobyt for the affected Service, where applicable.
14. Indemnity
Merchants agree to indemnify and hold harmless Neobyt, its affiliates, employees, partners, licensors, and service providers against claims, damages, liabilities, or expenses arising from merchant misuse of the Services, violation of these Terms, fraudulent or unlawful activities, customer disputes relating to merchant conduct, misuse of customer information, or operational negligence or unauthorized activities.
15. Policy and Service Updates
Neobyt may periodically update these Terms, modify Services or integrations, revise pricing structures, change operational workflows, or introduce additional service conditions. Updated versions will be published on the official website or communicated through operational channels. Continued use of the Services constitutes acceptance of the revised Terms.
